Moving an Alberta Corporation to Ontario Without Starting Over

A move does not always mean closing one corporation and creating another. With the right route, your existing company can continue while your legal registration and tax setup catch up with the new province.

The short version

An Alberta corporation can often operate in Ontario through extra-provincial registration, or it may be possible to continue the corporation into a federal or Ontario jurisdiction. The best choice depends on where the company will be managed, where it will operate, its contracts and assets, and the approvals available under the governing statutes.

01 / The simplest route

Start with extra-provincial registration

If the Alberta corporation will keep its existing legal home but begin carrying on business in Ontario, it can usually register as an extra-provincial corporation in Ontario. This is common when a business is expanding, opening a location, hiring in another province, or moving operations without changing the corporation itself.

The registration gives Ontario a record of the Alberta company and usually requires an Ontario address for service, corporate information, and the appropriate filings. It lets the corporation operate and contract in Ontario while remaining the same Alberta-incorporated legal entity. If the company is now managed almost entirely from Ontario, it is worth reviewing whether a more permanent change in jurisdiction is the better fit.

When continuance may make sense

Continuance is the legal process that moves a corporation from one governing statute to another while preserving its identity. Depending on the circumstances, an Alberta corporation may be able to continue federally under the Canada Business Corporations Act (CBCA), or into Ontario under the Ontario Business Corporations Act (OBCA), if the required permissions and approvals are in place.

The sequence can include director and shareholder resolutions, articles of continuance, name and records checks, a new address for service, and filings with both jurisdictions. A federal continuance can suit a company working across Canada; an Ontario continuance may fit a business making Ontario its long-term centre. The governing legislation and the corporation’s articles should be reviewed before choosing.

Continuity is the point

A properly completed continuance does not create a brand-new business. The corporation’s history, ownership, assets, liabilities, contracts, and commercial relationships generally continue with the same legal person, subject to the governing legislation and individual agreements.

That continuity can protect commercial history and reduce disruption to banking, contracts, financing, insurance, and suppliers. It does not mean “change nothing”: corporate records, licences, banking details, invoices, payroll records, and customer notices should be updated so the paperwork matches how the company now operates.
